These Terms govern your use of Trade Up as a job seeker or employer. Please read them before creating an account.

Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you and Trade Up ("Trade Up," "we," "us," or "our"), operated by Samuel Schneider as an individual from Ontario, Canada. Trade Up is not currently incorporated.
By accessing or using the Trade Up platform — including creating an account, posting a job, or submitting a job application — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not use Trade Up. If you are using Trade Up on behalf of a company, you represent that you have authority to bind that company to these Terms.

Our Services
Trade Up is an online job board dedicated exclusively to Canada's skilled trades industry. We provide:
For Job Seekers (Free)
A searchable listing of skilled trades job postings across Canada
A profile where you can list your trade, certifications, experience, and upload your resume
The ability to apply for jobs and communicate with employers through the platform
For Employers (Subscription)
Tools to create, manage, and promote job postings
Access to the applicant inbox and the ability to contact candidates
Subscription plans with varying levels of posting volume and placement
Trade Up is not a staffing agency or employment agency. We do not guarantee interviews, job placements, or hiring outcomes. We are not a party to any employment or contracting agreement made between users on our platform.

Your Account
You must be at least 16 years of age to create an account on Trade Up
You must provide accurate, current, and complete information when registering
You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account
You must notify us immediately at support@gettradeup.ca if you suspect unauthorized access to your account
You may not create more than one personal account or employer account without our written permission
Accounts that are found to be fraudulent or in violation of these Terms will be terminated without notice

User Responsibilities and Acceptable Use
All users agree not to use Trade Up in any way that is unlawful, harmful, or contrary to these Terms.
All Users Must Not
Impersonate another person, company, or trade certification
Post false, misleading, or inaccurate information
Collect, harvest, or scrape user data (names, emails, phone numbers) from the platform
Use automated tools, bots, or scripts to interact with the platform
Attempt to circumvent security features, bot prevention, or subscription requirements
Use the platform for any purpose that violates Canadian federal or provincial law
Send unsolicited messages or spam to other users
Job Seekers Specifically
Must only upload resumes, photos, and work samples that are genuinely their own
Must apply for roles in good faith and not submit mass or identical applications as spam
Must not misrepresent qualifications, certifications, or apprenticeship status
Employers Specifically
Must only post genuine, available job opportunities in the skilled trades
Must not post ghost listings, scam offers, or listings designed to collect personal data without a real job offer
Must comply with all applicable Canadian employment laws, including the Canada Labour Code, provincial employment standards, and human rights legislation — job postings must not discriminate on prohibited grounds
Must ensure all posted wages and job requirements are accurate and legally compliant

Intellectual Property
Trade Up's Property
The Trade Up name, logo, platform design, code, and all original written content are the intellectual property of Trade Up's operator. You may not copy, reproduce, distribute, or create derivative works from any of this content without our express written permission.
Your Content
Content you submit to Trade Up — including your resume, profile, job postings, and application materials — remains your intellectual property. By submitting content to the platform, you grant Trade Up a non-exclusive, royalty-free, worldwide licence to store, display, and transmit that content for the sole purpose of operating and providing the Trade Up service. We do not claim ownership of your content and will not use it for any purpose beyond running the platform.

Service Availability
We strive for high availability but do not guarantee that Trade Up will be accessible at all times without interruption or error
We may take the platform offline for scheduled maintenance, security updates, or urgent repairs — we will provide advance notice where reasonably possible
Employer subscription billing is not paused during planned maintenance windows
Support response times stated on the site are estimates only, not contractual commitments
If you experience extended platform outages that affect your paid subscription, contact us at support@gettradeup.ca to discuss your situation.

Limitation of Liability
To the maximum extent permitted by applicable law, Trade Up, its operator, and its employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
Loss of profits, revenue, data, goodwill, or business opportunities
Unauthorized access to or alteration of your data or account
Conduct or content submitted by other users on the platform (including fraudulent job postings or applications)
Any employment outcome (or lack thereof) resulting from use of the platform
Platform downtime, errors, or service interruptions
In no event shall our total liability to you for any claim arising from use of Trade Up exceed the greater of (a) the total subscription fees you paid to Trade Up in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
Nothing in this section limits liability that cannot be excluded under applicable Canadian or provincial consumer protection law — if you're a consumer in a province where a mandatory protection overrides part of this clause, that protection still applies to you regardless of what's written here.

Disclaimer of Warranties
The Trade Up platform and all content on it are provided "as is" and "as available" without any warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties including but not limited to:
Implied warranties of merchantability or fitness for a particular purpose
Warranty that the platform will be uninterrupted, error-free, or virus-free
Warranty that job postings are accurate, genuine, or legally compliant — all postings are user-submitted and we do not independently verify them
Warranty that applicant profiles, credentials, or certifications are accurate — we perform basic verification but cannot guarantee the truth of user-submitted information
Some provinces don't allow certain implied warranties to be excluded for consumers. If that applies to you, this disclaimer only goes as far as your provincial law allows — you keep whatever protections you're legally entitled to regardless.

Third-Party Links
The Trade Up platform may contain links to third-party websites or services — for example, links to employer company websites, external application portals, or Stripe for payment processing.
These links are provided for convenience only; we do not control or endorse any third-party site
We are not responsible for the content, privacy practices, or terms of any third-party website
Visiting a third-party site from a link on Trade Up is at your own risk
The presence of a link to a company does not constitute a recommendation or affiliation

Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.
Any dispute arising from these Terms or your use of Trade Up shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, unless otherwise required by applicable consumer protection law in your province of residence.
Trade Up currently operates as a sole proprietorship based in Ontario, so Ontario is used here as the operator's home jurisdiction. If Trade Up later incorporates or moves its legal base, this section will be updated to match. If you live in a province where local consumer protection law requires disputes to be handled differently, that law still applies to you.

Termination
Termination by Trade Up
We may suspend or permanently terminate your access to Trade Up, with or without notice, if we have reasonable grounds to believe that you have:
Violated any provision of these Terms
Engaged in fraudulent activity, impersonation, or misrepresentation
Posted unlawful, discriminatory, or deceptive job listings or profiles
Engaged in harassment, abuse, or threats directed at other users or our staff
Used the platform in a way that could expose Trade Up or its users to legal or reputational harm
For employer subscriptions, termination for cause does not entitle you to a refund of prepaid subscription fees.
Employer subscriptions should be cancelled before the next billing cycle to avoid additional charges — cancellation stops future billing but does not result in a pro-rated refund for the current period
Upon account closure, your personal data will be handled as described in our Privacy Policy
Account Inactivity
We may deactivate free accounts (including talent accounts and employer accounts without an active paid subscription) that have been inactive for 24 months, with prior email notice. Accounts with an active paid subscription will not be deactivated for inactivity as long as billing remains current.

Changes to These Terms
We may update these Terms of Service from time to time as Trade Up evolves and as applicable laws change.
The "Last updated" date at the top of this page will always reflect the most current version
If we make material changes — particularly to liability, user rights, or data handling — we will notify active users by email at least 14 days before the changes take effect
Continuing to use Trade Up after a change to the Terms constitutes your acceptance of the revised Terms
If you do not agree to an updated version of the Terms, you must close your account before the effective date of the changes
